1. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account with SAP Media Publishing LLC c/o SAP Music Group (“SAP”, “we”, “us”, or “our”). If you are registering on behalf of an artist, band, label, or company, you represent and warrant that you are authorized to bind that entity to these Terms.
By signing up, you confirm that any music, artwork, audiovisual content, metadata, or other materials you submit (“Content”) are properly licensed or owned by you and do not infringe any third-party rights.
2. Account Registration
To use our services, you must create an account and provide accurate, current, and complete information. You agree to:
- Maintain the accuracy of your profile and payment details.
- Keep your login credentials secure and confidential.
- Be responsible for all activity that occurs under your account.
You must notify us immediately if you become aware of any unauthorized use of your account or any other breach of security.
3. Services We Provide
SAP may offer a range of services, which can include, but are not limited to:
- Publishing administration and management of musical compositions.
- Digital distribution of your sound recordings and related Content to music and media platforms and partners.
- Rights management, catalog management, and releases management tools.
- Royalty collection and reporting, where applicable and agreed in writing.
- Marketing, branding, promotion, and advisory services, where offered.
The specific services available to you may depend on your plan, territory, separate written agreements, and the evolving nature of our business and partner relationships. We reserve the right to modify, suspend, or discontinue any part of the services at any time.
4. Your Content & Intellectual Property Rights
4.1 Ownership
As between you and SAP, you retain all right, title, and interest in and to your Content, including sound recordings, musical compositions (where applicable), artwork, images, videos, and any associated metadata that you submit through our services.
4.2 License to SAP
By uploading or otherwise providing Content to SAP, you grant SAP Media Publishing LLC a non-exclusive, worldwide, transferable, sublicensable license to:
- Host, store, encode, reproduce, modify for technical purposes, and publicly display your Content.
- Distribute and deliver your Content to digital service providers, platforms, and other partners for the purpose of making it available to end users.
- Use your name, artist name, logos, and artwork in connection with the marketing and promotion of your releases and our services.
This license is granted solely for the purpose of enabling SAP to provide and promote the services you have requested, and remains in effect as long as necessary for those purposes or as otherwise set out in any separate agreement.
4.3 Your Representations & Warranties
You represent and warrant that:
- You own or control all necessary rights in your Content.
- Your Content does not infringe any copyright, trademark, privacy, publicity, or other rights of any person or entity.
- All samples, features, and collaborations are properly cleared and authorized.
- Any metadata, credits, and ownership information you provide are accurate and complete.
4.4 Exclusive Publishing Administration
By creating an account and/or submitting any musical compositions, lyrics, or related materials (“Compositions”), you hereby grant SAP Media Publishing LLC c/o SAP Music Group the exclusive right to administer, manage, exploit, license, and collect all publishing income arising from such Compositions worldwide, to the extent permitted by law.
This exclusive publishing administration grant includes, without limitation, the right for SAP to:
- Register your Compositions with performance rights organizations (PROs), mechanical rights organizations, and other collection societies.
- Issue licenses for synchronization, mechanical, performance, print, digital, and other uses of your Compositions.
- Collect and receive all publishing royalties, license fees, and other income relating to your Compositions on your behalf.
- Enforce, protect, and defend your Compositions against unauthorized use, including making claims or settlements in its own name or your name.
4.5 Term of Exclusivity
The exclusive publishing administration rights described in Section 4.4 will commence immediately upon your account creation or first use of the services and will continue until your relationship with SAP is terminated in accordance with Section 7, subject to any additional written publishing or administration agreements between you and SAP.
SAP may continue to administer any licenses, registrations, or uses granted during the term of this agreement for so long as necessary to honor existing commitments, collect outstanding royalties, and comply with the terms of such licenses and the rules of applicable societies and platforms.
4.6 Artist Acknowledgements
By signing up, you acknowledge and agree that:
- SAP Media Publishing LLC is your exclusive publishing administrator for the Compositions you submit through the services, for the duration of the term outlined above.
- You will not appoint any other publisher or administrator to administer the same Compositions during the term of this exclusive grant without SAP’s prior written consent.
- You are responsible for disclosing any prior or existing publishing deals that may affect SAP’s ability to administer your Compositions.
- SAP may rely on the information you provide to register, license, and collect on your Compositions.
5. Payments, Royalties & Reporting
Where SAP collects royalties, license fees, or other revenues in relation to your Content or Compositions, the terms of payment, royalty splits, fees, commissions, and reporting will be governed by your separate distribution, publishing, or service agreement with SAP (if any).
Unless otherwise expressly agreed in writing:
- Payments will be made to the account details you provide in your profile or onboarding documents.
- Payouts may be subject to minimum thresholds and payment schedules.
- You are solely responsible for any taxes, duties, or other governmental charges applicable to amounts paid to you.
6. Artist Conduct & Prohibited Activity
You agree that you will not use the services in any way that:
- Violates any applicable law, regulation, or third-party rights.
- Involves the uploading or distribution of illegal, defamatory, obscene, hateful, or otherwise objectionable Content.
- Involves manipulating streaming numbers, views, or other metrics through bots, click-farms, fraudulent accounts, or any artificial means.
- Misrepresents the ownership or rights status of any Content or Composition.
- Misuses SAP’s name, trademarks, or branding in a misleading or unauthorized way.
We may, at our sole discretion, suspend or terminate your account and/or remove or block Content if we suspect that you have engaged in fraud, abuse, or violation of these Terms.
7. Term & Termination
These Terms become effective when you create an account or first use the services and will continue until terminated by you or us.
You may request the closure of your account in accordance with our procedures. We may suspend or terminate your account at any time, including if:
- You breach any provision of these Terms or a separate written agreement.
- We are required to do so by law or a court or regulatory order.
- We believe, in our sole discretion, that your use of the services may harm SAP, our partners, or other users.
Termination of your account will also end the ongoing exclusive publishing administration grant described in Section 4.4 for future uses, but SAP may continue to administer:
- Existing licenses, registrations, or uses granted during the term; and
- Royalties and income arising from such existing uses, until they naturally expire or are fully accounted for.
8. Privacy
Your use of the services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

9. Disclaimers
The services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, SAP disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee:
- Any particular level of success, exposure, or revenue for your Content or Compositions.
- That any specific platform or partner will accept, host, or continue to host your Content.
- That the services will be uninterrupted, secure, or error free.
10. Limitation of Liability
To the maximum extent permitted by applicable law, SAP Media Publishing LLC, its members, managers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or data, arising out of or in connection with your use of the services.
In no event will our total liability arising out of or relating to these Terms or the services exceed the total amount actually paid to you by SAP during the twelve (12) months immediately preceding the event giving rise to the claim, unless a different amount is specified in a separate written agreement with you.
11. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, provide additional notice (such as by email or within your account dashboard).
Your continued use of the services after the effective date of the revised Terms constitutes your acceptance of the changes.
12. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles.
You agree that any dispute arising out of or relating to these Terms or the services shall be brought exclusively in the state or federal courts located in or serving Natrona County, Wyoming, and you hereby consent to the personal jurisdiction of such courts.
